Welcome to MarketPond ("MarketPond", "we", "our" or "us"). These Terms and Conditions ("Terms") govern access to and use of the MarketPond website and any related services, features and communications we provide (together, the "Platform").

By accessing the Platform, creating an account or using any MarketPond service, you agree to these Terms. If you do not agree, you must not use the Platform.

These Terms should be read together with our Privacy Policy, Cookie Policy and any other rules or policies expressly linked from the Platform.

1. About MarketPond

MarketPond is a local community platform that helps people buy and sell items, find and promote local businesses and services, publish wanted listings, share community notices and communicate with other users across the Channel Islands.

MarketPond provides the online Platform only. Unless we expressly state otherwise, we do not own, inspect, manufacture, supply, sell, purchase, store, deliver, insure, guarantee or endorse any item, service, business, listing, notice or user.

MarketPond is not a party to contracts or transactions made between users. Any agreement for the sale, purchase, hire, collection, delivery or performance of goods or services is made directly between the relevant users.

2. Eligibility and Age Requirements

You must be at least 18 years old to create or operate a MarketPond account, publish content, contact other users, create a business profile or purchase Premium membership.

By registering, you confirm that you are at least 18 years old and legally capable of agreeing to these Terms.

People under 18 may browse publicly available parts of the Platform but may not create or operate an account. A parent or legal guardian may publish an appropriate listing or notice on behalf of a person under 18 using the adult's own account.

You must not provide a false date of birth or create an account for an under-18 user to avoid this restriction. We may request reasonable evidence of age and may restrict, suspend or close an account where we reasonably believe the account holder is under 18.

You must also ensure that: • the information you provide is accurate, complete and kept up to date; • you have the legal capacity and authority to use the Platform; • if you act for a business or organisation, you are authorised to bind it to these Terms; and • your use of MarketPond complies with all laws and regulations that apply to you.

3. Account Registration and Security

Some parts of MarketPond may be browsed without an account. Posting listings or notices, messaging users, creating a business profile and using Premium features may require registration.

You are responsible for: • keeping your login credentials secure and confidential; • all activity carried out through your account, except activity caused by our own breach; • providing accurate account and contact information; and • notifying us promptly if you suspect unauthorised access or misuse.

You must not share, sell, rent, transfer or allow another person to operate your account, except where an authorised representative operates a genuine business account.

We may require email, telephone, identity, age or business verification where reasonably necessary for safety, fraud prevention, account recovery or compliance.

4. Listings, Notices, Messages and User Content

Listings, business profiles, descriptions, prices, images, comments, messages, notices and other material uploaded or sent by users are referred to as "User Content".

You are solely responsible for your User Content and for ensuring that it remains accurate, lawful, relevant and up to date.

Your User Content must not: • be false, inaccurate, deceptive or materially misleading; • be illegal, fraudulent, defamatory, threatening, abusive, discriminatory or hateful; • harass, intimidate, exploit or endanger another person; • infringe copyright, trade marks, privacy, confidentiality or any other rights; • contain malware, viruses, malicious code, phishing links, spam or unauthorised automation; • impersonate or falsely suggest an affiliation with another person, business or organisation; • publish another person's personal information, photographs or private communications without a lawful reason and any permission required by law; • promote prohibited, unsafe or unlawful items, services or activities; or • otherwise breach these Terms or any policy expressly linked from the Platform.

Listings must relate to genuine items, services, requests, businesses or community matters relevant to the Channel Islands. You must remove or update content that is no longer accurate or available.

5. Prohibited and Restricted Items and Services

You must not list, request, advertise, promote, supply or arrange transactions involving unlawful, unsafe, stolen, counterfeit or otherwise prohibited items or services.

Prohibited or restricted categories include, without limitation: • illegal drugs, controlled substances and drug-related services; • stolen, counterfeit, pirated or fraudulently obtained goods; • weapons, ammunition, explosives and dangerous items; • hazardous chemicals, poisons, radioactive materials or unsafe substances; • prescription medicines, controlled medicines and restricted medical products; • tobacco, vaping and nicotine products where prohibited or restricted; • alcohol where its advertising or sale would be unlawful or non-compliant; • adult sexual services or sexually explicit services; • gambling services, fraudulent financial schemes, unlawful lending or misleading investments; • fake identity documents, account credentials, personal data or unlawfully obtained information; • unsafe, recalled, prohibited or materially defective products; • live animals or animal products where the listing is unlawful, unsafe or contrary to animal-welfare requirements; • tickets, licences, permits or regulated products where resale or transfer is prohibited; and • any item or service that breaches applicable law, licence conditions or regulatory requirements.

We may publish further category rules and may decide that a lawful item or service is not suitable for MarketPond. We may remove or restrict listings where reasonably necessary to protect users, the Platform or the public.

6. Food, Homemade Food, Eggs and Other Edible Products

Users may advertise food, homemade food, eggs, honey, preserves, baked goods and other edible products only where their production, handling, labelling and sale comply with all applicable food-safety, hygiene and trading requirements.

The seller is solely responsible for ensuring that food and eggs: • are safe, suitable and fit for human consumption; • have been prepared, handled, stored, packaged, displayed and transported in clean and hygienic conditions; • are protected from contamination, cross-contamination, pests and unsuitable temperatures; • are not spoiled, contaminated, recalled or past any applicable use-by date; • are accurately described, including whether they were produced in a domestic kitchen; • include any information required by law, including ingredients, allergens, storage instructions, use-by or best-before dates and seller details where applicable; and • comply with any special legal requirements applying to the particular product.

Anyone selling eggs is responsible for ensuring that the eggs are sound, appropriately handled and stored, free from obvious contamination and suitable for human consumption. The seller must provide any information legally required concerning origin, quantity, storage, grading, packing or date of sale.

Food sellers are responsible for obtaining and maintaining any registration, approval, licence, training, inspection or insurance required for their activities, including registration with the relevant Environmental Health authority where applicable.

A seller must immediately withdraw any food or eggs that may be unsafe and cooperate with any recall, investigation or instruction issued by a competent authority.

MarketPond does not inspect kitchens, premises, livestock, eggs, ingredients or finished food products. A listing does not mean that MarketPond has inspected, approved or certified the seller or product. Buyers should check ingredients, allergens, storage requirements and suitability before purchase or consumption.

7. Private Sellers and Business Users

A private seller is a person acting wholly or mainly outside their trade, business, craft or profession. A business user is any person or organisation advertising or supplying goods or services as part of a commercial or professional activity.

If you act as a business user, you must clearly identify yourself as a business and must not present commercial activity as a private sale.

Business users are responsible for: • providing accurate legal, trading and contact information; • displaying clear and accurate prices, descriptions and any unavoidable charges; • complying with applicable consumer-protection, cancellation, refund, repair and replacement rights; • complying with product-safety, food-safety, licensing, insurance, tax, employment and trading requirements; • supplying any legally required pre-contract information, receipts, guarantees or warnings; and • ensuring that their products, services, advertising and conduct are lawful.

Nothing in these Terms removes or limits mandatory rights that a consumer may have against a business seller. MarketPond may reclassify or restrict an account where its activity reasonably appears to be commercial.

8. Business Profiles and Professional Services

Businesses must keep their profiles, opening hours, descriptions, qualifications, licences, insurance information and contact details accurate and up to date.

A business profile, badge or search placement does not mean that MarketPond endorses, recommends, inspects, accredits or guarantees that business.

Unless we expressly state otherwise, MarketPond does not verify professional qualifications, trade memberships, licences, insurance, criminal-record checks or competence. Users must carry out their own checks before engaging a contractor, tradesperson, carer, adviser or other service provider.

9. Community Noticeboard

The community noticeboard is intended for local events, lost-and-found notices, requests for help, announcements and other useful community information.

Noticeboard posts must be truthful, respectful, lawful and appropriately worded. You must not use the noticeboard to spread harmful misinformation, make unsupported allegations, harass others, impersonate an authority or publish private information without permission.

MarketPond is not an emergency service or an official public-authority reporting channel. In an emergency, contact the appropriate emergency service or authority directly. Users must not rely solely on a MarketPond notice for urgent medical, safety, legal or public-service information.

10. Transactions Between Users

MarketPond is not involved in and does not supervise transactions between users. Buyers, sellers and service providers are responsible for conducting their own checks and agreeing the price, payment, delivery, collection, cancellation and other transaction terms.

Users are responsible for: • checking the identity and authority of the person they deal with; • inspecting goods and checking services, prices and descriptions; • ensuring the transaction is lawful, safe and appropriate; • using a payment method they consider suitable and secure; • keeping evidence of agreements and payments where appropriate; and • resolving disputes directly, subject to any legal rights.

We do not guarantee: • the existence, ownership, quality, safety, condition or legality of an item or service; • the truth or accuracy of any listing or communication; • that a buyer will pay, a seller will supply, or a service provider will perform; • that a transaction will be completed, refunded or resolved; or • that any person is who they claim to be.

Unless expressly introduced as a separate MarketPond service, we do not provide escrow, buyer protection, payment protection, delivery, insurance or formal dispute resolution.

11. Safe Trading and Personal Safety

You must exercise reasonable care when buying, selling, meeting or communicating through MarketPond.

We recommend that users: • meet in a safe public place where practical and tell someone where they are going; • avoid sharing unnecessary personal, financial or identity information; • do not publish full home addresses, children's school details, daily routines or travel dates; • inspect items and confirm important details before paying; • be cautious of unusual payment requests, overpayments, urgency or requests to move communication elsewhere; • do not send verification codes, passwords or copies of identity documents to another user; and • report suspicious, threatening or fraudulent activity to MarketPond and, where appropriate, the police or relevant authority.

MarketPond cannot guarantee the safety of meetings, collections, deliveries, services or transactions arranged through the Platform.

12. Verification and Trust Features

MarketPond may provide verification badges or trust features. The meaning of each badge will be described on the Platform.

Verification may confirm only a particular detail, such as control of an email address, telephone number, identity document or business information. It does not guarantee a user's honesty, qualifications, creditworthiness, listing accuracy, transaction legitimacy, product quality or future conduct.

Users remain responsible for carrying out their own checks.

13. Premium Membership and Paid Features

Standard MarketPond accounts may be offered without charge. We may also offer optional Premium membership or paid features, including additional visibility, longer listing periods, business tools, promotional features or access to additional locations.

The current price, billing interval, included features and any introductory offer will be shown before purchase. Premium membership may renew automatically at the end of each billing period until cancelled.

You may cancel future renewal using the method shown in your account or purchase confirmation. Where a third-party payment provider controls the recurring payment instruction, you may also need to cancel that instruction directly with the provider. Cancellation normally takes effect at the end of the current paid billing period, unless the Platform states otherwise.

Except where required by law or expressly stated by MarketPond, fees already paid are not refundable merely because you stop using Premium before the end of a paid period.

Any statutory cancellation or refund rights that apply to you remain unaffected. Where you ask for Premium access to begin immediately during a statutory cancellation period, you may be required to pay a proportionate amount for services supplied before cancellation, where permitted by law.

We may change Premium prices or features. Material changes will not apply retrospectively to a completed billing period, and we will provide reasonable advance notice where practicable. You may cancel before a new price takes effect.

If payment fails, expires, is reversed or is disputed, Premium features may be paused or removed. Suspension or closure for a serious breach of these Terms does not automatically create a right to a refund, except where required by law.

14. Payments and Third-Party Providers

Premium payments may be processed by third-party payment providers, including PayPal or another provider identified at checkout. Their separate terms and privacy practices apply.

MarketPond does not normally store full payment-card details. You are responsible for keeping payment and billing information accurate and for reviewing any recurring-payment instruction.

MarketPond is not responsible for a third-party payment provider's independent acts, outages or security failures, except to the extent that the law makes us responsible.

15. Use of Other Users' Information

You may receive another user's personal information during a genuine MarketPond conversation or transaction. You may use that information only for the purpose for which it was shared.

You must not: • add another user to a marketing or mailing list without valid consent; • send spam, harassment or unrelated commercial messages; • sell, publish or disclose another user's information without a lawful reason; • use contact details to locate, monitor or intimidate another person; or • retain information longer than reasonably necessary for the transaction or legal record-keeping.

16. Messaging and Communications

Messages must relate to genuine MarketPond activity and must not contain harassment, threats, sexual approaches, discrimination, spam, phishing, malware, impersonation or fraudulent payment requests.

We do not routinely monitor every private message. However, we may access, preserve, review or disclose messages where reasonably necessary to investigate a report, protect users, prevent fraud, enforce these Terms, maintain security or comply with law, as further described in our Privacy Policy.

We may send essential service communications concerning your account, security, transactions, Premium membership or changes to the Platform. Marketing communications will be handled in accordance with applicable law and your communication preferences.

17. Community Standards

Users must:

• treat others respectfully and communicate honestly;

• avoid harassment, abuse, threats, discrimination and exploitation;

• avoid repeated unwanted contact or pressure;

• report suspicious, unlawful or unsafe content in good faith; and

• help maintain a safe and useful local community.

Reports must be made honestly. Knowingly false, malicious or retaliatory reports may themselves breach these Terms.

18. Moderation and Removal of Content

We may remove, restrict, hide, suspend or refuse User Content or accounts where we reasonably believe that they breach these Terms, create a safety risk, infringe another person's rights, harm the Platform or expose MarketPond or others to legal or regulatory risk.

We may take urgent action without prior notice. We may make minor formatting, categorisation or technical adjustments, but we will not intentionally make a material change to the meaning of a user's content without permission.

MarketPond is not obliged to pre-screen or monitor all content, and failure to remove content immediately does not mean that we approve it.

You may contact us if you believe that content or an account was restricted by mistake. We will consider reasonable review requests but are not obliged to restore content.

19. Fraud, Misuse and Cooperation with Authorities

We may investigate, restrict or close an account where we reasonably suspect fraud, attempted fraud, scams, identity misuse, unlawful activity, payment abuse, security threats or conduct that may harm MarketPond or its users.

Where permitted or required by law, we may preserve information and cooperate with police, courts, regulators, safeguarding bodies, payment providers or other competent authorities.

20. Intellectual Property and User Licence

The MarketPond name, frog logo, branding, design, software, layout, databases and original Platform content belong to Jakub Nekola or the relevant licensors. You must not copy, reproduce, modify, distribute, scrape or commercially exploit them without permission, except as permitted by law.

You retain ownership of User Content you upload. By uploading or publishing User Content, you grant MarketPond a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, format, display, communicate and use that content as reasonably necessary to operate, secure, improve and promote MarketPond.

This licence includes displaying public listings in search results and, where appropriate, featuring publicly available listings or business profiles on MarketPond's own social-media or promotional channels. We will not claim ownership of your content.

The licence normally ends when the content is deleted, but copies may remain temporarily in backups, records, cached pages or promotional material already produced, subject to our Privacy Policy and legal obligations.

You confirm that you own your User Content or have all rights and permissions necessary to upload and use it.

21. Copyright, Trade Mark and Rights Complaints

If you believe that content on MarketPond infringes copyright, a trade mark, privacy or another legal right, contact us with enough information to identify the content, explain the right affected and show your authority to make the complaint.

We may remove or restrict disputed content while reviewing a complaint and may ask the relevant user for further information. Users must not submit knowingly false infringement complaints.

22. Platform Access and Prohibited Technical Activity

You must not:

• interfere with the operation, security or availability of the Platform;

• attempt to bypass authentication, rate limits or access controls;

• access accounts, systems or data without authorisation;

• scrape, harvest, copy or extract substantial amounts of data;

• use bots, automated scripts or unauthorised tools;

• introduce malware, overload systems or carry out denial-of-service activity;

• reverse engineer or misuse the Platform, except where the law expressly permits it; or

• use MarketPond to build or populate a competing database or service without permission.

23. Search, Recommendations, Notifications and Automated Features

MarketPond may provide search tools, categories, recommendations, real-time updates, notifications or automated features. They are provided for convenience and may be incomplete, delayed or inaccurate.

The order or visibility of content may be affected by relevance, location, freshness, Premium features, moderation, availability and technical factors. Search placement does not represent endorsement or verification.

24. Third-Party Links and Services

The Platform may contain links to third-party websites, maps, payment services, social networks or other services. MarketPond does not control and is not responsible for third-party content, availability, security, terms or privacy practices.

You should review the relevant third-party terms before using those services.

25. Availability and Changes to the Platform

We aim to keep MarketPond available and working properly, but we do not guarantee uninterrupted, secure or error-free access.

The Platform may be unavailable or changed because of maintenance, updates, security incidents, supplier failures, internet outages, legal requirements or events beyond our reasonable control.

We may add, remove, suspend or alter features. Where a material change affects a paid feature, we will act reasonably and preserve any mandatory consumer rights.

26. Privacy and Data Protection

We process personal information in accordance with our Privacy Policy and applicable data-protection law.

You must not use MarketPond to collect, disclose or otherwise process personal information unlawfully. Where you post information about another person, you are responsible for having a lawful basis and any required permission.

The Platform is not intended for under-18 account holders. If we learn that an under-18 person has created an account, we may close it and handle the information in accordance with our Privacy Policy.

27. Account Closure, Deletion and Data Retention

You may request closure of your account through any available account settings or by contacting us.

Closing your MarketPond account may not automatically cancel a recurring payment instruction held by a third-party payment provider. You remain responsible for cancelling that instruction where necessary.

When an account closes, active listings and public profile information may be removed or disabled. Messages already sent may remain visible to their recipients.

We may retain limited information where reasonably necessary for payment records, tax, fraud prevention, security, dispute handling, enforcement, legal claims or compliance. Further details are provided in our Privacy Policy.

28. Limitation of Liability

To the fullest extent permitted by law, the Platform is provided "as is" and "as available". MarketPond does not guarantee the accuracy, reliability, availability or suitability of User Content, users, listings, businesses, services or transactions.

Subject to the paragraph below, MarketPond is not responsible for losses arising from: • transactions, meetings, payments, deliveries or disputes between users; • false, misleading, unlawful or inaccurate User Content; • the quality, safety, legality, fitness, ownership or performance of goods or services supplied by users; • actions or omissions of users or third-party service providers; • loss of profit, revenue, business, opportunity, goodwill or anticipated savings; • indirect or consequential loss; or • interruptions, errors, security incidents or events beyond our reasonable control.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability that cannot lawfully be excluded for fraud, fraudulent misrepresentation, deliberate wrongdoing, or death or personal injury caused by negligence where applicable.

Nothing in these Terms affects mandatory consumer or data-protection rights.

29. Your Responsibility for Losses

To the extent permitted by law, you are responsible for losses, liabilities and reasonable costs incurred by MarketPond as a direct result of your deliberate or negligent breach of these Terms, your unlawful use of the Platform or your infringement of another person's rights.

This does not apply to losses caused by MarketPond's own negligence, breach of these Terms or unlawful conduct.

30. Suspension and Termination

We may warn, restrict, suspend or terminate an account, remove content or limit access where:

• you breach these Terms or an applicable policy;

• we reasonably suspect fraud, misuse, unlawful activity or a security risk;

• your conduct may harm another user, MarketPond or the public;

• payment for a paid service fails or is reversed;

• we are required to act by law, court order or a competent authority; or

• continued access would expose MarketPond or others to unreasonable legal or operational risk.

Where appropriate, we may provide notice and an opportunity to respond, but urgent or serious action may be taken immediately.

You may stop using MarketPond at any time. Provisions that by their nature should continue after termination, including intellectual-property, liability, payment, dispute and record-retention provisions, will continue to apply.

31. Changes to These Terms

We may update these Terms from time to time. The revised version will show a new "Last updated" date.

For significant changes affecting Premium pricing, recurring payments or users' legal rights, we will provide reasonable advance notice where practicable, including by email or a prominent notice on the Platform.

Changes will not apply retrospectively to completed transactions or billing periods. If you do not agree to revised Terms, you must stop using the Platform and may cancel any future Premium renewal.

32. Governing Law and Disputes

These Terms and any non-contractual obligations arising from them are governed by the laws applicable in Alderney, Bailiwick of Guernsey, subject to any mandatory rights you have under the law of your place of residence.

The courts of Alderney will have non-exclusive jurisdiction, unless applicable law requires a dispute to be heard elsewhere.

Before beginning formal proceedings, users are encouraged to contact us and allow a reasonable opportunity to consider and resolve the issue.

33. General

If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions will continue in effect.

A delay or failure by MarketPond to enforce a provision does not waive the right to enforce it later.

You may not transfer your account or rights under these Terms without our permission. We may transfer the operation of MarketPond and these Terms to a successor business, provided that doing so does not remove mandatory user rights.

These Terms, together with the Privacy Policy and any policies expressly incorporated into them, form the agreement between you and MarketPond concerning use of the Platform.

A report should include enough information for us to identify the relevant listing, profile, message or account and understand the concern. We may ask for further information or evidence.
